ORIX Aviation Systems Limited has announced its planned acquisition of UK-based aviation aftermarket specialist AerFin Limited in a move that will significantly expand its presence across the aircraft lifecycle. The transaction, which remains subject to regulatory approval, is expected to be completed by the end of 2026.
The acquisition represents ORIX Aviation’s first step into the aviation aftermarket sector, adding expertise in used serviceable material (USM), airframe and engine parts to its existing aircraft leasing and asset management operations. The company believes the deal will strengthen its ability to support customers throughout the full lifespan of an aircraft, from acquisition and leasing through to disassembly and end-of-life asset solutions.
Established in 1991, ORIX Aviation owns and manages aircraft while providing comprehensive asset management services to Japanese and international investors through its operating lease platform. By bringing AerFin into the business, ORIX Aviation aims to broaden its service offering while supporting the continued growth of the aviation aftermarket specialist across an even wider customer base.
“The acquisition of AerFin is a significant milestone for ORIX Aviation and ORIX Group as we expand our capabilities across the aircraft lifecycle. AerFin has built a leading aviation aftermarket platform, supported by an experienced management team, deep technical expertise and a global customer network. Together, we will be well positioned to deliver additional value for customers and investors while supporting a more sustainable aviation industry through the reuse and optimisation of aircraft assets.”
– James Meyler, Chief Executive Officer of ORIX Aviation.
Founded in 2010, AerFin has established itself as a global provider of aviation aftermarket services, specialising in aircraft and engine disassembly, component management, maintenance, and the sale and lease of serviceable parts. The company supports airlines, maintenance organisations and aircraft lessors across six continents, drawing on extensive expertise in aircraft acquisition, inspection, inventory management and parts supply.
“I am delighted that AerFin is joining the ORIX Group, a business that shares our values and belief in trusted partnerships, flexible solutions and finding the way ahead for our customers. I would like to take this opportunity to thank our founder Bob James for his vision and tenacity, our departing majority shareholders CataCap for their outstanding custodianship and guidance, and of course our customers, employees and partners who have made our business what it is today. This is a defining moment in AerFin’s story and the beginning of an exciting new chapter. With the backing of ORIX Aviation and the wider ORIX Group organisation, we will have the support, confidence and platform to enable AerFin to become a stronger force within the industry while continuing our ambition to be the most trusted partner in the aviation aftermarket. The best of AerFin is still to come.”
– Simon Goodson, Chief Executive Officer of AerFin.
The transaction also highlights the growing importance of the aviation aftermarket as aircraft owners and operators increasingly focus on extending asset value and supporting more sustainable operations through the reuse and optimisation of aircraft components. Upon completion, the acquisition is expected to enhance ORIX Aviation’s ability to deliver integrated solutions spanning leasing, asset management and aftermarket services.
Goldman Sachs International acted as the sole financial advisor to ORIX Aviation on the transaction, while Gibson, Dunn & Crutcher served as legal counsel. EY provided financial due diligence services, and PwC acted as tax due diligence advisor.
